Proposed change to legal structure
At the AGM, members were requested to support further governance changes to strengthen RAC into the future, with a special resolution being put to Voting Members to approve a change in the legal structure of the Club from an incorporated association to a company limited by guarantee.
The special resolution to approve the change in legal structure was approved by Voting Members at the AGM. This means that RAC will become a company limited by guarantee, regulated by the Corporations Act 2001 (Cth) on or about 1 July 2026 and will operate under a new constitution approved at the AGM.
Details of the steps required to move to a company limited by guarantee are set out in the Explanatory Statement below.
Until the conversion, RAC will continue to operate as an incorporated association under its existing Rules and By-Laws and in accordance with the Associations Incorporations Act 2015 (WA).
